Product Warranty and Return Policy

Seven (7) days limited warranty on OEM CPU (processors) without purchasing a motherboard or system. Thirty (30) days limited warranty on applicable retail boxed parts. One (1) year limited warranty on OEM parts. One (1) year limited warranty on custom-built computer systems. No warranty for damaged items caused by physical, trial error, or virus. No returns are accepted for refund, exchanges only for defective parts. Exchanges must be made within seven (7) days from invoice date and are subject to approval. During the seven (7) days exchange period, Urban CCS will honor all applicable warranties. After the seven (7) days exchange period all warranties are to be pursued by customer directly with manufacturer. All components have been tested to be in working order, however, some components (such as cases or optical drives) may have minor scratches and dents. Please remember, you must receive a Return Merchandise Authorization number on all exchanges. All unauthorized packages will be refused.

Auction Terms and Conditions

Your winning bid is a legally binding contract. It costs time and money to sell items on eBay, so PLEASE do not bid if you are not 100% sure that you want this item OR if you are unable to make payment on the item within 5 business days. If you are the winning bidder, you will be responsible for the purchase price plus shipping. If you fail to make payment on the item within 5 business days, you will get "NONE PAYER" negative feedback and will be responsible for any fees or loss associated with the listed item.

Shipping Information

Please allow 10-30 business days from date of payment to receive your item(s). We ship via Canada Post, DHL, FedEx and UPS. Customs and duty fees are buyer's responsibility.

Terms and Conditions Governing Services

This Agreement is entered into by and between the customer ("Customer") and Urban Calgary Computer Services ("Urban CCS"). Written approval is not a prerequisite to the validity or enforceability of this Agreement and no solicitation of any such written approval by or on behalf of Urban CCS shall be construed as an inference to the contrary. If Customer has submitted a request for service to Urban CCS, Urban CCS acceptance is expressly conditional on Customer's assent to these terms to the exclusion of all other terms; if these terms are considered an offer by Urban CCS, acceptance is expressly limited to these terms.

Definitions. The following terms shall have the meaning defined herein.

"Agreement" means this agreement, which incorporates these terms and conditions.

"Business Day" means from 9:00 a.m. to 7:00 p.m. GMT Monday through Friday, except for Canadian government holidays.

"Problem" means an error in the Product that causes it not to conform materially to the applicable user documentation provided by manufacturer.

"Product" or "Products" means the computer software or hardware set forth in the applicable invoice from Urban CCS, including any updates or upgrades provided to Customer by the applicable manufacturer.

"Service" or "Services" or "Service(s)" means the service(s) provided by Urban CCS personnel. 

"Term" means the term of this Agreement as such term is indicated on the applicable invoice from Urban CCS, or if no term is indicated, then the term shall be for one year from the date of the applicable invoice.

"Workaround" means a temporary solution or fix that restores operational capability without severely compromising the performance of the Products or integrity of the operating system or data. Workarounds may include changes to configuration parameters or operational processes.

General Terms

Payment Terms and Taxes

Payment Terms. Customer agrees that Urban CCS obligations hereunder are contingent upon Customer's payment of fees to Urban CCS during the Term of this Agreement. Invoices are due and payable upon receipt of invoice. Only with prior written consent provided by Urban CCS are invoices due and payable thirty (30) days from date of invoice. In the event that any invoice is not paid when due, Customer will be subject to a late fee at the rate of three and a quarter percent (3.25%) per month on the outstanding amount or the maximum rate permitted by law, whichever is less.

Taxes, Customs, and Duties. Customer will be responsible for taxes, customs or duties arising from the provision of service under this Agreement except for taxes upon Urban CCS net income.

License and Ownership

Rights of Urban CCS. Title to all work product created by Urban CCS under the terms of the Agreement will remain the property of Urban CCS. To the extent that Customer's employees, agents, or contractors participate in creating any modifications to the Software, Customer assigns all intellectual property rights to such information, inventions, ideas, discoveries, or other matter provided to Urban CCS under the Agreement, except where Urban CCS is advised otherwise by Customer, in advance, that information provided to Urban CCS constitutes Customer's existing intellectual property.

License Grant. For Workarounds for which Urban CCS owns the intellectual property rights, Urban CCS will grant Customer a non-exclusive license, without right of sublicense, to use the Workarounds solely for Customer's own business purposes but not for marketing, distribution, or resale.

Protection of Confidential Information. Each party will protect the other's confidential information from unauthorized dissemination and use the same degree of care that such party uses to protect its own like information, but in no event less than a reasonable degree of care.

Renewal, Term, and Termination

Renewal. The Agreement is renewable for additional one (1) year terms upon thirty (30) days' written notice by Customer and mutual agreement of the parties.

Renewal Fees. service fees apply to any renewal period of the Agreement and will be determined by Urban CCS at the time of renewal.

Renewal After Lapse. If there is a lapse in the service term, Urban CCS will reinstate the service only after Customer pays all service fees that would have been due during the period of the lapse, plus a reasonable lapse administration fee.

Termination. Urban CCS may suspend or terminate service if Customer breaches any provision of the Agreement, and if such breach is not remedied within thirty (30) days after Customer receives written notice of the breach. Urban CCS may terminate the Agreement upon the filing by or against Customer of any action under any applicable bankruptcy or insolvency law.

Survival of Terms. The following terms will survive any expiration or termination of the Agreement: Definitions; Payment Terms and Taxes; License and Ownership; Protection of Confidential Information; Warranty Disclaimer; Limitation of Liability; Enforcement of Agreement; and Entire Agreement.

Limited Warranty, Warranty Disclaimers

Limited Services Warranty. All work performed hereunder will be in a professional and workmanlike manner.

Warranty Disclaimer. Other than the limited warranty provided above, all work performed hereunder will be "as is" without warranty of any kind. Urban CCS does not provide a guarantee to fix any reported Problems or provide fixes within a predefined time frame. Urban CCS hereby disclaims all warranties express or implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

Limitation of Liability. Urban CCS entire liability arising from or relating to this Agreement, under any legal theory (whether in contract, tort, indemnity, or otherwise), will be limited to the amounts paid by Customer for the service for the applicable year.

Enforcement of Agreement

Governing Law. The Agreement will be governed by the Law of Canada, without regard to the principles of conflict of laws.

Waiver. Failure by either party to enforce any provision of the Agreement will not be deemed a waiver of future enforcement of that or any other provision.

Force Majeure. Except for the obligation to make payments, non-performance of either party will be excused to the extent performance is rendered impossible due to causes beyond such party's reasonable control.

Allocation of Risk. This Agreement defines a mutually agreed-upon allocation of risk, and the service price reflects such allocation of risk.

Entire Agreement. This Agreement sets forth the entire understanding and agreement between the parties concerning the subject matter hereof and may be amended only in a writing signed by authorized representatives of both parties. No terms on any purchase order from Customer shall in any way modify, replace, or supersede the terms of this Agreement.

Service

Scope of Service. Service will be provided only to Customer only if Customer has valid service approval from Urban CCS and is current on all payments due to Urban CCS. Customer-requested visits outside Calgary, Alberta to Customer's site by Urban CCS will require additional fee's and, if agreed to by Urban CCS, will be charged at the then-current rate plus travel and living expenses.

Urban CCS Responsibilities

Service. Urban CCS will receive and track Problems via on-site, telephone or e-mail. Urban CCS will use commercially reasonable efforts to provide Customer with service consisting only of on-site, telephone or e-mail assistance and fixes.

Service Level Objectives. During the Term, as applicable, Urban CCS will use commercially reasonable efforts to meet the following service level objectives and response times.

Customer's Responsibilities

During the Term of this Agreement, Customer will:

Problem Reporting. Provide Urban CCS with a complete and concise description, including all pertinent details, of the Problem, Product name and version, and relevant operating system or platform information.

Problem Notification. Notify Urban CCS of Problems in accordance with the then-current Urban CCS problem reporting procedures.

E-mail use. As reasonably requested by Urban CCS, use e-mail for all technical communication, including notification of problems and subsequent communication concerning the resolution of such Problems.

Access to Information. Subject to Customer's reasonable security requirements, provide Urban CCS with access to and use of all information and system facilities, including user IDs and passwords, reasonably determined necessary by Urban CCS to provide timely support pursuant to the terms herein.

Other Errors

If Urban CCS determines that a problem reported by Customer may not be due to Products, Urban CCS will so notify Customer, who then may either: (i) request Urban CCS to proceed with problem determination at Customer's expense on a time and materials basis at Urban CCS then-current rate plus travel and living expenses; or (ii) advise Urban CCS that Customer does not wish the problem pursued at its expense, in which case Urban CCS may elect, at its sole discretion, not to pursue the problem without liability therefore.

Terms and Conditions Governing Web Design

License

Our website grants you a nonexclusive limited license to use the web designs and other products sold through our web site by independent content providers (the "products") in accordance with these Terms and Conditions (the "license") issued by our company.

Limited Usage Granted

You may only use each individual product on a single website, belonging to either you or your client. You have to purchase same design once more in order to make another project with the same design.

Modifications

You are authorized to make any necessary modification(s) to our products to fit your purposes.

Unauthorized Use

You may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind without prior written consent from Urban CCS.

Assignability

You may not sub-license, assign, or transfer this license to anyone else without prior written consent from Urban CCS.

Ownership

You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of independent content providers.

Our products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.

Refund Policy

Since our company is offering non-tangible irrevocable goods we do not issue refunds after the product is shipped, which you are responsible for understanding upon purchasing any article at our site. Please make sure that you've carefully read 'sources available' section. We only make exceptions with this rule when the product appears to be not-as-described on a case by case basis in agreement of the parties concerned. The deadline for any refund claim is one week after the delivery date.

Our company reserves the right to change or modify these terms with no prior notice.
